We can say that these articles are the basis of an company because they keep the rights, the objectives and the internal processes in an up-to-date matrix. Also, a company should always have a valid certificate of incorporation. This is the document that proves that the company exists and that it is authorized by a jurisdiction. The person who takes care of monitoring the company is also known as the registration agent. This person usually provides the registered office too, which is the official address where all the documents are being received. The members of the company are its owners. Like any other company it has also some directors, who are represented by those people who take care of the daily affairs. In some cases, there are appointed some directors, whose purpose is nothing else than execute the other's members decisions. These other members that are the real directors choose to stay in the shadow for various reasons and they are usually referred to as the "shadow directors
